Cornerstone Counsel’s Founder and Managing Partner, Ceyhun Pehlivan, participated in a webinar organised by the Escuela de Práctica Jurídica of the Complutense University of Madrid (UCM) examining the impact of new technologies on M&A transactions and the role of environmental taxation in national and international trade.
Ceyhun’s intervention focused on the growing importance of artificial intelligence in M&A transactions and the new legal and regulatory considerations that AI is creating for companies, investors and their advisers.
In particular, he discussed the importance of identifying and assessing AI-related risks as part of the due diligence process, including understanding how a target company develops, deploys or uses AI systems, the data on which those systems rely, the applicable regulatory framework and the potential liabilities and compliance issues that may ultimately be inherited by an acquirer.
The session also provided an opportunity to consider how the increasing use of AI across businesses is changing the scope of technology due diligence. As AI becomes embedded in products, services and internal business processes, its legal and regulatory treatment is becoming an increasingly relevant consideration in corporate transactions.
Ceyhun shared the session with Natalia Hidalgo Sebastián, Founder and Director of NH Asesores Legales; Andrés Mochales Forero, Partner at PwC; Javier Juste-Mencía, Professor of Commercial Law at UCM; and Jorge P. Rabadan Villanueva, member of AEDAF and Co-Director of the M&A specialisation programmes of the Escuela de Práctica Jurídica.
